These Terms of Service ("Terms") govern your use of the websites, console, API and services of Joy Services ("Joy", "we", "us"). By creating an account or ordering a service you agree to these Terms, the Service Level Agreement, Acceptable Use Policy and Marketplace Agreement, the Privacy Policy and the Return, Refund and Replacement policies, which together form the whole agreement.
1. Account
You must be at least 18 years old, or the legal age of majority where you live, and provide accurate contact and billing details. You are responsible for all activity on your account and for keeping credentials secure; we strongly recommend enabling two-factor authentication. Notify us immediately of unauthorised use. Accounts are personal to the individual or organisation that registered them; one person or organisation may hold one free-tier credit. We may refuse or close accounts that provide false information or that we reasonably believe are used for abuse.
2. Services
We provide cloud servers, dedicated hardware, network services, delivery and storage products and related services as described on our website and in the console at the time of order. Services marked beta are provided as-is with the pricing shown; services marked soon are not available for order. We may change features of a service where the change does not materially reduce it; material reductions are announced 30 days ahead in the Updates feed and by email.
3. Ordering and provisioning
An order is placed when you confirm it in the console or through the API. Provisioning of automated services begins when the invoice is paid; dedicated hardware and network services begin on the date agreed in the order. Credentials for servers are shown in the console only. You are responsible for the configuration and security of software inside your servers.
4. Prices, currency and tax
Prices are set in US dollars and converted to your account currency at the rate displayed at the time of invoicing. Invoices are issued in your account currency and show the USD base. Prices exclude taxes; Goods and Services Tax at the applicable rate is added for customers in India and other taxes where required by law. You are responsible for providing accurate tax details (such as a GSTIN) before an invoice is issued.
5. Billing, wallet and payment
Invoices are due within 7 days of issue unless the order says otherwise. The wallet is a prepaid USD balance that can be used to pay invoices and from which hourly services are metered every hour they exist, running or stopped. Wallet balance is not a deposit and earns no interest. Payment is processed by third-party providers (including Razorpay, PayPal and a card processor) under their own terms; we do not store card numbers. If a payment is reversed or charged back, the related services may be suspended until the amount is settled.
6. Late payment, suspension and termination for non-payment
Where an invoice remains unpaid: the service is suspended 3 days after the due date (data intact and accessible to us) and terminated 14 days after the due date, at which point data is deleted and IP addresses are released. Reminders are sent before the due date and at each step. Hourly services stop when the wallet reaches zero and are retained for 72 hours before termination. Reactivation before termination is automatic on payment.
7. Term and renewal
Services with a billing cycle renew automatically at the end of each term unless cancelled from the console before the renewal date or auto-renew is disabled. You may cancel at any time; cancellation takes effect at the end of the paid term and no pro-rated refund is due except as set out in the Refund policy. Hourly services end when you destroy them.
8. Acceptable use
You must comply with the Acceptable Use Policy. We may suspend services immediately where continued operation would harm others, the network or Joy, and otherwise after notice. Suspension or termination for violation does not entitle you to a refund. You remain liable for fees during suspension.
9. Your data
You own the data you store on our services. We do not access the contents of your servers except to provide support at your request, to investigate a suspected violation of these Terms, or where required by law, and then only to the extent necessary. Snapshots are stored on the same hardware as your server and are not backups; you are responsible for backing up your data. On termination your data is deleted within 30 days and cannot be recovered. Personal data is handled as described in the Privacy Policy.
10. Intellectual property
Joy retains all rights in its software, websites, documentation and brands. You receive a limited, non-exclusive, non-transferable right to use the console and API to manage your services. Operating-system images are licensed under their own terms (for example, Windows Server under Microsoft's SPLA through Joy, which requires the licence add-on to remain active while the image is in use).
11. Availability and support
We aim to provide services continuously and support 24/7 as described on the Support page. Availability commitments and service credits are set out in the Service Level Agreement, which is the sole remedy for unavailability.
12. Warranties and disclaimer
Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that services will be uninterrupted, error-free or secure against all threats.
13. Limitation of liability
To the fullest extent permitted by law, Joy is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from or related to the services. Our aggregate liability for all claims in any twelve-month period is limited to the fees you paid to us in the three months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You will indemnify Joy against claims, losses and costs (including reasonable legal fees) arising from your content, your use of the services in breach of these Terms, or your violation of law or third-party rights.
15. Changes to the Terms
We may update these Terms. Material changes are announced in the Updates feed and by email at least 30 days before taking effect, except where a change is required sooner by law. Continued use after the effective date is acceptance of the new Terms; if you do not agree you may cancel your services before that date.
16. Governing law and disputes
These Terms are governed by the laws of India. Before starting proceedings, both parties agree to try to resolve a dispute through the help desk and, failing that, through a good-faith discussion between representatives with authority to settle. Subject to that, the courts of New Delhi have exclusive jurisdiction. Consumers in jurisdictions that grant non-excludable rights keep those rights.
17. General
If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor. Notices to you are sent to the email on your account; notices to us go to legal@joy.services. These Terms, together with the documents referred to above, are the entire agreement between you and Joy about the services.
